1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the SetraPass platform, websites, and related services (the “Service”) provided by [Company legal name] (“SetraPass”, “we”, “us”, “our”). 2. Definitions
- “Economic Operator” — the business entity that registers for and uses the Service.
- “User” — an individual who accesses the Service under an Economic Operator's account.
- “DPP” — a Digital Product Passport created and managed through the Service.
- “Customer Content” — the product, sustainability, and compliance data you submit to the Service.
3. Accounts and Eligibility
The Service is intended for businesses and the individuals who act on their behalf. You must be at least 18 years old and authorised to bind the Economic Operator you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorised use.
4. Customer Content and Responsibility
You retain all rights to your Customer Content. You grant us a limited licence to host, process, and display that content solely to provide the Service.
You are solely responsible for ensuring that your Customer Content:
- is accurate, complete, and kept up to date;
- complies with all applicable laws and regulations, including the EU Ecodesign for Sustainable Products Regulation (ESPR) and any applicable product or labelling rules;
- does not infringe the rights of any third party; and
- does not contain personal data in fields that are public by design.
You acknowledge that certain DPP fields are published publicly to meet regulatory transparency requirements.
5. Acceptable Use
You agree not to:
- use the Service for any unlawful or fraudulent purpose;
- upload malicious code or attempt to disrupt, probe, or gain unauthorised access to the Service or its infrastructure;
- reverse engineer, copy, or resell the Service except as permitted by law;
- publish false, misleading, or deceptive product or sustainability claims; or
- exceed plan limits or circumvent usage restrictions or access controls.
6. Plans, Fees, and Payment
The Service is offered under various plans, including a free tier and paid subscriptions. Plan features, limits, and prices are described on our website and may change. Paid fees are billed in advance on a recurring basis and are non-refundable except where required by law. We may suspend or downgrade accounts that exceed plan limits or have overdue payments.
7. Service Availability and Changes
We work to keep the Service available and reliable but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time. Where reasonable, we will provide advance notice of material changes that adversely affect paying customers.
8. Intellectual Property
The Service, including its software, design, and trademarks, is owned by SetraPass and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service in accordance with these Terms.
9. Third-Party Services
The Service relies on third-party providers (for example, hosting, database, and email services). Your use of the Service may be subject to those providers' terms. We are not responsible for the content or practices of third-party services that we do not control.
10. Data Protection
Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf as a processor, that processing is governed by a Data Processing Agreement (DPA).
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. SetraPass does not warrant that the Service will meet your specific compliance obligations; you remain responsible for determining whether your DPPs satisfy applicable legal requirements.
12. Limitation of Liability
To the maximum extent permitted by law, SetraPass will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold SetraPass harmless from any claims, damages, and expenses arising out of your Customer Content, your use of the Service, or your breach of these Terms.
14. Suspension and Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that creates legal risk or harms others. Upon termination, your right to use the Service ceases. We will make Customer Content available for export for 30 days after termination, after which it may be deleted in line with our Privacy Policy.
15. Governing Law and Disputes
These Terms are governed by the laws of [country / jurisdiction], without regard to conflict-of-law rules. The courts of [city, country] will have exclusive jurisdiction over any disputes, subject to any mandatory consumer protection rules that may apply.
